In terms of paragraphs 3.63 - 3.74 of the Listings Requirements of the JSE Limited and in compliance with the AIM Rules for Companies, shareholders are advised that the following information relating to a share dealing by directors of the Company is accordingly disclosed:

• Director: A.R. Martin - non-executive director
• Date transaction was effected: 9 September 2009
• Average Price (cents): 200
• Number of securities: 15 000 000
• Class of securities: Ordinary shares
• Nature of transaction: Sale
• Total value of transaction: R30 000 750
• Extent of Directors' interest: Indirect and non - beneficial

Dark Capital (Pty) Ltd., Petmin's BEE partner and of which Mr. Martin is a director, placed the shares through a financial institution as it is in the process of re-arranging its portfolio and financing structures so as to enable it to participate in an optimal manner in its various projects of its portfolio and intends to continue being Petmin's major shareholder and an anchor BEE consortium member. This transaction will not materially affect the Company's BEE status.

Clearance was received in terms of rule 3.66 of the JSE`s Listings Requirements in respect of the above transactions after confirmation had been obtained from the JSE.

• Nature of transaction: Exercise of options previously acquired from Dawie Warmenhoven (previously the Petmin CEO) prior to Jan du Preez joining Petmin as a director and CEO in 2006.
